Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Remote& | AI platform and services ("Services") provided by Remote& | AI ("Remote&", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account or using the Services, you represent that you have the authority to bind the company or organisation on whose behalf you are acting, and that both you and your organisation agree to these Terms. If you are using the Services on behalf of an organisation, references to "you" include both you and the organisation.

2. Description of Services

Remote& provides a cloud-based platform for global HR management, payroll processing, employer of record services, contractor management, and compliance monitoring across 150+ countries. The specific features and functionality available to you depend on the subscription plan you select.

3. Account Registration

You must create an account to access the Services. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your credentials confidential and not share them with unauthorized parties.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity occurring under your account.

4. Subscription and Payment

Access to the Services requires a paid subscription. By subscribing, you agree to pay all applicable fees as described in your order or as communicated by us. Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

We may change subscription fees upon reasonable advance notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to violate any applicable laws or regulations.
  • Upload or transmit malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to process data in violation of any privacy or data protection law.
  • Resell, sublicense, or otherwise commercialize access to the Services without our consent.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. You are responsible for ensuring that you have all necessary rights and consents to submit employee and third-party data to the platform, and that doing so complies with applicable law.

7. Intellectual Property

Remote& and its licensors retain all intellectual property rights in and to the Services, including software, algorithms, trademarks, and content. These Terms do not grant you any ownership rights. You retain ownership of data you submit to the platform, and grant us a limited license to process it solely for the purpose of providing the Services.

8. Confidentiality

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to third parties, except as necessary to perform obligations under these Terms or as required by law. This obligation survives termination of these Terms.

9. Warranties and Disclaimers

Remote& warrants that it will provide the Services with reasonable care and skill. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND BEYOND WHAT IS EXPRESSLY STATED HERE. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that compliance features will guarantee compliance with all applicable laws in all jurisdictions.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REMOTE&'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL REMOTE& BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Remote& and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law.

12. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate for cause if the other materially breaches these Terms and fails to cure the breach within 30 days of written notice. We may also suspend or terminate your access immediately for violations of the acceptable use policy. Upon termination, your right to use the Services ceases and we will handle your data in accordance with our Privacy Policy and Data Processing Agreement.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Remote& is incorporated, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration or in the courts of competent jurisdiction, as mutually agreed. You waive any right to participate in class-action lawsuits.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Services after updated Terms take effect constitutes your acceptance.
